“Trincos” means [insert exact Indian contracting entity], together with its applicable affiliates or platform entities, as the context requires.

3A. Marketplace Services

Trincos may operate as an e-commerce marketplace facilitating transactions between Buyers and independent third-party Sellers.

Where Goods are offered by a third-party Seller, the Seller is responsible for the accuracy of its product listings and for complying with applicable laws relating to the Goods, including applicable consumer protection, product safety, taxation, packaging, labelling, licensing and regulatory requirements.

Unless expressly stated otherwise, Trincos is not the manufacturer of Goods sold by third-party Sellers and does not assume the Seller's obligations as manufacturer, importer or seller merely by facilitating the transaction.

Nothing in these Terms excludes or limits any obligation or liability that cannot lawfully be excluded under applicable Indian law.

4. Eligibility

You must be legally competent to enter into a binding contract under applicable Indian law to place an Order or otherwise enter into a transaction through the Platform.

If you place an Order on behalf of a business or other organisation, you represent that you have authority to bind that organisation.

You shall provide accurate and complete information when creating an account or placing an Order.

5. Product Information

Trincos and Sellers shall make reasonable efforts to ensure that product descriptions, specifications, images, prices, availability and other material information displayed on the Platform are accurate and not misleading.

Product images are provided for illustrative purposes and reasonable variations in colour, appearance or packaging may occur.

Sellers remain responsible for the accuracy of product information supplied by them.

Trincos may correct typographical, pricing, availability or other errors and may update product information where necessary.

6. Placing Orders and Contract Formation

Products displayed on the Platform constitute an invitation to make an offer to purchase, unless expressly stated otherwise.

When you place an Order, you are submitting an offer to purchase the relevant Goods subject to these Terms and the applicable transaction terms.

Submission of an Order does not by itself constitute acceptance of the Order by Trincos or the relevant Seller.

An Order shall be accepted in accordance with the order confirmation, dispatch confirmation or other electronic communication issued through the Platform, as applicable to the transaction.

Trincos or the relevant Seller may reject, cancel or limit an Order where:

  • the Goods are unavailable

  • there is an apparent pricing or listing error

  • payment cannot be authorised

  • fraud or suspicious activity is reasonably suspected

  • regulatory or legal requirements require cancellation

  • the Order exceeds applicable purchase or inventory limits

  • cancellation is reasonably necessary for security, risk-management or operational reasons.

Where an Order is cancelled after payment has been received, the applicable amount shall be refunded in accordance with the Return & Refund Policy and applicable payment processing requirements.

7. Prices & Taxes

Prices shall be displayed in Indian Rupees (INR), unless otherwise expressly stated.

Applicable taxes, including GST where applicable, shall be reflected or disclosed in accordance with applicable law and the relevant transaction.

Shipping charges and other applicable charges shall be disclosed to the Buyer before completion of the purchase, where reasonably determinable.

For international transactions, customs duties, import taxes, brokerage charges, foreign exchange charges and other applicable charges may apply in accordance with the Shipping & Delivery Policy and applicable law.

8. Payment

Payment must be completed in accordance with the payment terms displayed at checkout, unless otherwise agreed.

Trincos may make available payment methods including credit cards, debit cards, UPI, net banking, digital wallets and other payment methods supported by its payment service providers from time to time.

Payment transactions may be processed by third-party payment service providers. Trincos may not receive or store complete payment card credentials where such information is processed directly by the relevant payment provider.

Trincos may delay, suspend or refuse a transaction where additional verification is reasonably required for fraud prevention, payment security, regulatory compliance, chargeback management or other legitimate transaction-security purposes.

Nothing in these Terms limits any mandatory rights available to a customer in relation to an unauthorised electronic transaction or payment under applicable law.

9. Delivery

Delivery options, estimated delivery periods and applicable shipping charges shall be displayed during checkout where applicable and are further described in the Shipping & Delivery Policy.

Delivery dates are estimates unless expressly stated otherwise.

Delivery may be affected by circumstances including carrier delays, weather, transportation disruptions, customs procedures, governmental actions and other events beyond the reasonable control of Trincos or the relevant Seller.

The allocation of risk in relation to Goods shall be determined in accordance with the applicable transaction terms and applicable law.

10. Title and Risk

Where Trincos is the seller of the Goods, title to the Goods shall transfer in accordance with the applicable sale terms and applicable law.

Where Goods are supplied by a third-party Seller, title shall transfer between the Seller and Buyer in accordance with the applicable transaction terms and applicable law.

Nothing in these Terms shall be interpreted as representing that Trincos owns Goods supplied by an independent third-party Seller.

11. Cancellation of Orders

Buyers may request cancellation of an Order in accordance with the applicable order terms, Trincos' Return & Refund Policy and applicable law.

Cancellation may not be available after an Order has been dispatched or fulfilled, except where permitted by the applicable policy or required by law.

Nothing in these Terms limits any mandatory cancellation, refund or other consumer rights available under applicable Indian law.

12. Defective, Damaged or Non-Conforming Goods

Where Goods are defective, damaged, materially different from their description, incorrectly supplied, counterfeit or otherwise fail to conform to the applicable transaction terms, the Buyer may be entitled to repair, replacement, refund, redelivery or another remedy in accordance with the Return & Refund Policy, Buyer Protection Policy and applicable law.

Nothing in these Terms limits any mandatory rights or remedies available to consumers under applicable Indian law.

13. Manufacturer Warranties

Certain Goods may be accompanied by manufacturer warranties or other commercial warranties.

Where applicable, such warranties are provided by the relevant manufacturer or warrantor and operate in addition to any mandatory rights and remedies available to the Buyer under applicable law.

Warranty terms, exclusions and claim procedures may vary by product and shall be as specified by the relevant manufacturer, Seller or warranty provider.

14. Business Customers

Where a Buyer purchases Goods in the course of business or trade and does not qualify as a “consumer” under applicable law, consumer-specific rights may not apply to the extent permitted by law.

Returns, cancellations, warranties and other remedies for Business Customers shall be governed by these Terms, the applicable transaction terms, Seller terms and any separately agreed commercial terms.

Nothing in this section excludes any rights or protections that cannot lawfully be excluded.

15. Intellectual Property

All intellectual property rights in the Platform and its content, including text, trademarks, logos, graphics, photographs, product descriptions, software, design and other materials, are owned by or licensed to Trincos or the relevant rights holder.

Except as expressly permitted by these Terms or applicable law, no content may be copied, reproduced, modified, distributed, transmitted, published or commercially exploited without prior written permission from the relevant rights holder.

Nothing in these Terms grants the Buyer any ownership interest or licence in Trincos' intellectual property except to the limited extent necessary to use the Platform in accordance with these Terms.

16. Limitation of Liability

Nothing in these Terms excludes, restricts or limits any liability or consumer right that cannot lawfully be excluded, restricted or limited under applicable Indian law.

To the maximum extent permitted by applicable law, Trincos shall not be liable for indirect, incidental, special or consequential losses arising from the use of the Platform or a transaction.

Where Trincos is legally liable to a Business Customer for a claim arising directly from a particular Order, Trincos' aggregate liability shall, to the maximum extent permitted by applicable law, not exceed the amount paid for the relevant Order.

The limitations in this section shall not apply to the extent prohibited by applicable law.

17. Force Majeure

Trincos shall not be responsible for delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, including natural disasters, epidemics or pandemics, strikes, transportation disruptions, supplier failures, cyber incidents, governmental actions, changes in law, civil disturbances or failures of telecommunications or infrastructure.

This section does not limit any mandatory consumer rights or remedies available under applicable law.

18. Privacy and Data Protection

Personal information collected and processed through the Platform shall be handled in accordance with Trincos' Privacy Policy and applicable Indian data protection and privacy laws.

Trincos may process personal information for purposes including account administration, order processing, payment processing, delivery, customer support, fraud prevention, dispute resolution, legal compliance and other purposes described in the Privacy Policy.

By using the Platform, users acknowledge that personal information may be processed and shared with relevant service providers and other third parties as described in the Privacy Policy and as permitted or required by applicable law.

18A. Consumer Complaints and Grievance Redressal

Buyers may submit complaints relating to Orders, Goods, delivery, refunds, payments, Sellers or other Platform-related matters through Trincos' designated customer support or grievance redressal channels.

Trincos shall maintain a grievance redressal mechanism in accordance with applicable law.

The details of the designated Grievance Officer, including the name or designation, contact details and address, shall be made available on the Platform as required by applicable law.

Complaints shall be acknowledged and handled within the timelines prescribed by applicable law.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to any mandatory consumer rights, statutory remedies and jurisdictional provisions applicable under Indian law, courts having appropriate jurisdiction in India shall have jurisdiction over disputes arising out of or in connection with these Terms.

Nothing in this section limits any right of a consumer to approach a competent consumer dispute redressal commission or other authority having jurisdiction under applicable law.

20. Changes to These Terms

Trincos may amend these Terms from time to time to reflect changes in applicable law, regulatory requirements, Platform functionality, business practices or operational requirements.

The updated Terms shall be published on the Platform together with the applicable effective date.

The Terms applicable to an Order shall generally be those in effect at the time the Order is placed, unless a change is required by applicable law or expressly agreed otherwise.

Changes to these Terms shall not retrospectively affect rights or obligations arising from Orders already placed, except where required by applicable law.
